Terms of Service
These Terms of Service (“Terms”) govern your access to and use of Ramlabs — the website at ramlabs.io, our streaming tools, overlays, chat bot, text-to-speech, monetisation features, Discord bot, and companion app (together, the “Services”). Please read them carefully. By creating an account, connecting a platform, making a payment, or otherwise using the Services, you agree to these Terms.
Who we are
Ramlabs (“Ramlabs”, “we”, “us” or “our”) provides a toolkit for live streamers on platforms such as Kick, Twitch, Rumble and YouTube, including real-time text-to-speech, OBS overlay widgets, chat games, moderation, viewer monetisation, a Discord bot, and a desktop companion app.
Ramlabs is not affiliated with, endorsed by, or sponsored by Kick, Twitch, Rumble, YouTube, Discord, Stripe, VRChat, or any other third-party platform. All product names, logos and brands are the property of their respective owners.
Definitions
- Streamer
- A person who registers a Ramlabs account to use the Services for their channel or community.
- Viewer / Supporter
- A member of a Streamer’s audience who interacts with the Services, including by sending a chat message, triggering an overlay interaction, or making a payment to support a Streamer.
- Connected Platform
- A third-party service you link to Ramlabs, such as Kick, Twitch, Rumble, YouTube or Discord.
- Content
- Any text, message, media, audio, configuration or other material you submit, upload, generate or transmit through the Services, including text-to-speech (“TTS”) messages.
Eligibility
You must be at least 18 years old, or the age of majority in your place of residence, to create an account, make a payment, or receive payouts through the Services. By using the Services you represent that you meet this requirement and that you have the legal capacity to enter into these Terms. If you use the Services on behalf of an organisation, you represent that you are authorised to bind that organisation to these Terms.
Accounts & security
You are responsible for the information you provide, for keeping your login credentials confidential, and for all activity that occurs under your account. Tell us promptly if you suspect unauthorised access.
You may grant other people delegated access to parts of your dashboard (“sub-users”). You remain responsible for everything done under your account by anyone you authorise, and for ensuring their use complies with these Terms.
Connected platforms
Much of what Ramlabs does relies on Connected Platforms. When you link one, you authorise us to access and use your data on that platform (for example your channel, chat, followers, subscribers and events) to provide the Services, in line with the permissions you grant.
Your use of each Connected Platform remains subject to that platform’s own terms and policies. You are responsible for complying with them, and you must not use Ramlabs in a way that breaches them. A platform may change or withdraw its APIs at any time, which may affect or disable related features without notice.
The Services
Ramlabs provides tools including, depending on your configuration: real-time text-to-speech read on your stream; OBS overlay widgets, alerts and goals; chat commands, games and moderation; viewer monetisation and tipping; a Discord bot; and a desktop companion app that bridges to local software such as VRChat via OSC. Features are offered as-described and may be added, changed, limited or removed over time.
Acceptable use
You agree not to, and not to allow anyone else to:
- use the Services for anything unlawful, or to infringe anyone’s intellectual property, privacy or other rights;
- submit or broadcast content — including via TTS, overlays or the Discord bot — that is harassing, hateful, threatening, defamatory, obscene, or that sexualises minors;
- impersonate any person, or misrepresent your affiliation with any person or entity;
- send spam, run unauthorised automation, or attempt to circumvent rate limits, moderation, or payment controls;
- probe, scan, disrupt, overload, or attempt to gain unauthorised access to the Services or their infrastructure;
- reverse engineer, decompile, scrape, or copy the Services except to the extent this restriction is prohibited by law;
- use the Services to process payments for anything prohibited by our payment providers, or to facilitate fraud, money laundering or chargeback abuse; or
- breach the terms of any Connected Platform.
As a Streamer, you are responsible for content your Viewers generate through your channel’s use of the Services, and for configuring moderation and monetisation appropriately for your audience.
Your content & TTS
You retain ownership of your Content. You grant Ramlabs a worldwide, non-exclusive, royalty-free licence to host, store, process, reproduce, synthesise (including into speech), transmit and display your Content solely as needed to operate and provide the Services to you — for example, to read a TTS message aloud on your overlay, to display an alert, or to cache generated audio.
You are responsible for your Content and represent that you have the rights necessary to submit it and to grant the licence above. We may screen, filter, refuse, remove or limit Content that we reasonably believe breaches these Terms or applicable law, but we are not obliged to monitor Content and do not endorse it.
Monetisation — streamers
Ramlabs lets Streamers accept payments from Viewers — for example tips and support, paid TTS, paid songs and videos, paid interactions, and credit packs. Payments are processed by our third-party payment provider, Stripe, including through Stripe Connect for payouts to Streamers. Ramlabs provides the platform that facilitates these payments; it is not a bank, payment institution, or party to the underlying transaction between a Viewer and a Streamer.
As a Streamer offering monetisation, you agree that:
- you must complete any required onboarding and identity verification with Stripe, and comply with the Stripe Connected Account Agreement and applicable Stripe terms;
- you set your own prices and configure what Viewers receive, and you are responsible for delivering it;
- you are solely responsible for your own tax obligations (including any GST), invoicing, and for accurately describing what supporters are paying for;
- you will not use monetisation for prohibited, misleading or illegal purposes; and
- you are responsible for handling supporter enquiries, disputes and refunds relating to your channel, consistent with your obligations under applicable consumer law.
Payments — viewers
If you are a Viewer, a payment you make through Ramlabs is a voluntary payment to support a Streamer and, where applicable, to trigger a digital interaction (such as a TTS message, a song or video request, or an on-stream reaction). These are digital, often instant, and may be personalised.
Because these interactions are typically delivered immediately and cannot be “returned”, payments are generally final and non-refundable, except where required by law or as described in the Refunds & chargebacks section below. You are responsible for the content you submit as part of a paid interaction and must comply with the Acceptable use section.
Fees, payouts & tax
Where Ramlabs charges a platform fee or where payment processing fees apply, these are disclosed before you complete a transaction or in your dashboard. Payment processing and payout timing are handled by Stripe and are subject to their terms and verification checks; we do not control when Stripe releases funds.
You are responsible for determining, collecting and remitting any taxes that apply to your use of the Services, including on amounts you receive as a Streamer. Prices and amounts may be shown in one or more currencies, and conversion is handled by the payment provider.
Refunds & chargebacks
Subject to your consumer rights, viewer support and paid interactions are generally non-refundable once delivered. If you believe a payment was made in error, was unauthorised, or was not delivered as described, contact us and, where relevant, the Streamer. Initiating a chargeback or payment dispute without first attempting to resolve the issue may result in suspension of your access, and we may share transaction records with the payment provider to resolve the dispute.
Companion app
The Ramlabs companion app is desktop software we license to you on a personal, non-exclusive, non-transferable, revocable basis for use with your Ramlabs account. It runs locally on your device, may send data between your device and the Services, and may update itself automatically. You must not redistribute, resell, or tamper with the app, and your use of it is subject to these Terms.
Intellectual property
The Services, including all software, designs, text, graphics and their look and feel (but excluding your Content and third-party materials), are owned by Ramlabs or its licensors and are protected by intellectual property laws. We grant you a limited, non-exclusive, non-transferable, revocable licence to access and use the Services for their intended purpose while these Terms are in force. All rights not expressly granted are reserved.
Availability & changes
We aim to keep the Services available and reliable, but we do not guarantee uninterrupted or error-free operation. The Services may be unavailable for maintenance, updates, or reasons beyond our control, and some features are experimental or in beta and may change or be removed. We may modify, suspend or discontinue any part of the Services at any time.
Suspension & termination
You may stop using the Services and close your account at any time. We may suspend or terminate your access, with or without notice, if you breach these Terms, if required to protect the Services, other users, or our providers, or if required by law. On termination, your licence to use the Services ends and we may delete your data in accordance with our Privacy Policy and our legal obligations. Any funds held or in transit are handled in accordance with the payment provider’s terms. Sections that by their nature should survive termination (including intellectual property, disclaimers, liability, indemnity and governing law) will survive.
Disclaimers
To the maximum extent permitted by law, and subject to the consumer rights referred to above, the Services are provided “as is” and “as available” without warranties of any kind, whether express or implied, including implied warranties of merchantability, fitness for a particular purpose, and non-infringement. We do not warrant that the Services will meet your requirements, be uninterrupted, secure or error-free, or that any Connected Platform will remain available.
Limitation of liability
To the maximum extent permitted by law, and subject to the consumer guarantees that cannot be excluded, Ramlabs will not be liable for any indirect, incidental, special, consequential or punitive loss, or for loss of profits, revenue, goodwill, data, or business opportunities, arising out of or in connection with the Services or these Terms.
To the extent liability cannot be wholly excluded, and where the law permits us to limit it, our total aggregate liability to you for all claims arising out of or relating to the Services or these Terms is limited to the greater of (a) the total amount you paid to Ramlabs in the three months before the event giving rise to the liability, or (b) AUD $100.
Indemnity
To the extent permitted by law, you agree to indemnify and hold harmless Ramlabs from and against claims, liabilities, damages, losses and expenses (including reasonable legal costs) arising out of or connected with your Content, your use of the Services, your breach of these Terms, or your breach of any law or third-party rights (including the terms of a Connected Platform).
Governing law
These Terms are governed by the laws in force in Australia. You and Ramlabs submit to the non-exclusive jurisdiction of the courts of Australia and the courts able to hear appeals from them. If you access the Services from outside Australia, you are responsible for compliance with local laws that apply to you.
Changes to these Terms
We may update these Terms from time to time. If we make material changes, we will take reasonable steps to let you know, such as by updating the “Last updated” date above or notifying you through the Services. Your continued use of the Services after changes take effect means you accept the updated Terms.
General
These Terms, together with our Privacy Policy, are the entire agreement between you and Ramlabs about the Services. If any provision is found unenforceable, the rest remains in effect. Our failure to enforce a provision is not a waiver. You may not assign these Terms without our consent; we may assign them in connection with a merger, acquisition or sale of assets. Nothing in these Terms creates a partnership, agency or employment relationship between you and Ramlabs.
